La corporate name is the name that identifies the EURL as a legal person (company). It can be considered in the same way as the name of a natural person. The corporate name of an EURL cannot be validated that from the moment she is registered with the RCS. Once this step has been taken, the EURL can prohibit others from using it.
Transformation of the corporate name of an EURL
Throughout its lifetime, the sole proprietor will have the possibility of change the social name of its EURL. This transformation, not requiring the formation of a new legal entity, requires a rectification of the statutes. A specific process must then be followed:
- The sole proprietor takes a decision unilaterally which it registers in a dedicated register,
- he performs a modification of the statutes of the EURL,
- he publishes a legal notice of transformation of company name,
- and he declares the new company name to the registry of the commercial court.
