In general, it is possible for anyone to become the sole partner by Limited Liability Company (SARL). However, it is important to respect the rules established. here are the conditions to be met to be the sole shareholder of a SARL.

conditions associated unique eurl

An EURL can be managed by a natural or legal person

The sole associates of an EURL can be Human being to legal entities (other companies, associations, etc.). It is therefore possible that it is a Physical person or an Corporation who runs the business.

The conditions for being the sole shareholder of an EURL

A person of French nationality can become thesole shareholder of an EURL. Also, a european citizen can be associated without holding a residence permit. For the non-nationals, they must have a resident card or a temporary card. In the case of a non-resident person, he must complete an administrative declaration before becoming the sole shareholder of an EURL.

Unrestricted: a single person can be uniquely associated with several EURLs

There is no limit in this regard. This allows both natural persons and legal entities to be uniquely associated with one or more EURLs. This can be advantageous if you carry out several activities and want to separate them into very distinct structures.

No limitation to become a partner of an EURL

The conditions for being a partner of an EURL are distinct from those necessary for being a manager. No constraint or prohibition can prevent one from becoming the sole shareholder of an EURL. It is not required for an EURL partner to hold commercial capacity. Thus, it is possible for:

  • capable or incapable adults (under guardianship, curatorship or judicial safeguard),
  • and non-emancipated minors or emancipated minors (considered as adults).

However, this principle must be qualified since:

  • a non-emancipated minor does not act personally (shares are subscribed in his name by his legal representative) and he cannot make decisions alone that affect his fortune called deeds of disposition (this may have an impact on his contributions in the capital of the EURL);
  • the conclusion of contracts carried out by an unemancipated minor contravening an authorization or without prior authorization may be questioned.

In the case of a married couple, the contributor's spouse may, under certain conditions, exercise a right to claim the status of partner. This faculty was presented in the following article: the conditions for becoming a partner of a SARL.
