In framework 2 bis, it is necessary to tick the box “closing of liquidation” and indicate the data recorded on the closing report of the liquidation operations (hypothesis of an amicable liquidation in the presence of natural person partners).

If employees are still present on the day of the deregistration request, you must tick the “yes” box in box 3 entitled “presence of employees”.

Finally, box 8 designates the signatory as well as his capacity (legal representative, agent or third party). His contact details must be specified and he must date and sign the document.

When should the deregistration request be submitted?

The dissolution of a company is done in two stages. First, the partners choose a liquidator who will take care of amicable liquidation operations during a 3 year period. Once this work is completed, the M4 form is signed and sent by the liquidation agent. This document, along with other vouchers, constitutes the cancellation request file. He must be sent in the month following the closing of the liquidation operations.

What happens after submitting the M4 form?

The registry of the commercial court processes the request for cancellation and decides its fate. If the file is complete, the company is removed from the trade and companies register. Then, the registry issues a Kbis deregistration extract. The CFE communicates the information to the tax services, social security bodies and INSEE.

The company is no longer recognized by third parties from the publication in the BODACC of the cancellation (official bulletin of civil and commercial announcements).
