What does the SASU registration application file contain?

To exist, a SASU must carry out a gait registration in the Trade and Companies Register (RCS). This formality is carried out by means of a deposit of a set of parts at the business formalities center (CFE). THE contents of this file must contain the articles of association, the certificate of publication of the notice of creation, the certificate of blocking of funds, declarative forms and supporting documents concerning the president and the registered office. An authentic copy of the SASU statutes

The document to be submitted first to the registry of the commercial court is a copy printed and signed by the sole shareholder statutes of the SASU. It must include certain mandatory information such as the properties of the company (name, address, capital, object, duration, operation, etc.) and the appointment of the first president, which is a particularity of the SASU. It may also include additions, including a summary of the acts carried out for the company in formation and auditor's report. In principle, a specialist must verify the value of the contributions if the sole shareholder makes them, but an exemption is possible if the total value of the contributions in kind does not exceed 50% of the capital and if none is greater than 30 euros. .

Proof of dissemination of the announcement of the creation of the SASU

A SASU, once registered, acquires legal personality. She is considered an independent person, like an individual for example. It has its own assets and can make commitments in its name and on its behalf. These characteristics have significant impacts on third parties (individuals or professionals) with whom it may sign contracts. For this reason, the Act imposes the publication of a notice special (known as "legal announcement of incorporation") in a specific medium.

It is an authorized medium for the publication of legal advertisements (SHAL). Most often, the choice falls on a journal of legal announcements (JAL). The announcement must contain mandatory information. In addition, the medium chosen must cover the department where the head office is located. Once the ad is scheduled to air, SHAL provides the company with a publication certificate. This certificate must imperatively be included in the application fileSASU registration, otherwise the registry temporarily blocks the file.

Certificate of the depositary of the funds for the share capital

When the sole partner provides funds to his SASU at its creation, he deposits them in one way or another. He can choose to do so at a notary, at the deposit and consignment fund or at a bank (traditional or online). However, at least 50% sums promised at the constitution must be paid. The balance can be released in the following 5 years.

The custodian of the funds, i.e. the organization which receives the money and opens the account, gives the SASU a certificate for share capital. This document is blocked until the company is registered in the Trade and Companies Register (RCS). After this registration, the president of the SASU must provide the company's Kbis extract. This authorizes the release of funds. THE fund custodian certificate must be attached to the registration file.

RCS registration forms (M0 and M'BE)

The clerk of the commercial court who deals with the registration of the SASU needs a summary of the statutory information and other data not included in the statutes. There are therefore two important documents to provide: the registration form 13959 (M0) and form 16062 (M'BE).

Le M0 lists the main SASU properties (form, capital, closing date, main activity, address of head office and establishments, start date of activity, source of goodwill, identity and address of the president). It also specifies the tax choices regarding income tax and VAT. THE M'BE reveals the identity of the person who owns the SASU, i.e. the sole shareholder, who holds more than 25% of the company's capital and voting rights.

Necessary proof concerning the headquarters and the director of the SASU

Le leader is required to provide an authenticated copy of a identity document (passport or identity card). He must also draw up and sign a affidavit of innocence and parentage. In the latter, he states that no prohibition or conviction prevents him from running a business. He must also provide details of the identity of his parents (father and mother). If the president is a company, a Kbis extract of less than 3 months must be attached to the file.

In addition, the the head office of the SASU must be certified by proof of address. This may be a copy of the commercial lease or a certificate of residence with the president.
